1. Introduction

These Terms of Service (“Agreement”) govern your participation in the Derma.pk Affiliate Program (“Program”). By signing up for the Program, you (“Affiliate” or “You”) agree to be bound by these terms and conditions. Derma.pk (“Company,” “We,” or “Us”) reserves the right to amend this Agreement at any time by posting the revised version on our website. Your continued participation in the Program after any such changes constitutes your acceptance of the revised Agreement.

2. Definitions

• Affiliate: An individual or entity that has been approved to participate in the Program.
• Affiliate Link: A unique URL provided to the Affiliate that tracks referrals to Derma.pk.
• Commission: A percentage of the sale price paid to the Affiliate for each successful referral.
• Customer: A visitor to Derma.pk who makes a purchase through an Affiliate Link.
• Dashboard: The online interface provided to Affiliates to track their performance and earnings.
• Marketing Materials: Promotional materials provided by Derma.pk to Affiliates, including banners, product images, and videos.
• Net Sales: The total revenue generated from sales made through Affiliate Links, excluding shipping costs, taxes, and returns.
• Website: The Derma.pk website located at https://derma.pk.

3. Affiliate Responsibilities

• Accurate Information: Provide accurate and complete information during the registration process.
• Promotional Activities: Promote Derma.pk in a professional and ethical manner, complying with all applicable laws and regulations.
• Content Guidelines: Ensure that all promotional content is accurate, truthful, and not misleading.
• Brand Guidelines: Adhere to Derma.pk’s brand guidelines when using our logo or trademarks. Affiliates may create their own marketing materials, but all promotional content must include the Derma.pk logo.
• Prohibited Activities: Refrain from engaging in any activity that may damage the reputation of Derma.pk.

4. Commission Structure

• Commission Rates: Affiliates earn a commission on Net Sales generated through their Affiliate Links, according to the following tiered structure:
  • Bronze: 5% commission
  • Silver: 7% commission (after 50 sales)
  • Gold: 10% commission (after 100 sales and Rs. 250,000 in revenue)
• Commission Payments: Commissions are paid monthly, provided the Affiliate has earned a minimum of [insert minimum payout amount].
• Payment Method: Commissions are paid via bank transfer to the Affiliate’s designated bank account.

5. Tracking and Payment

• Tracking Technology: Derma.pk uses cookies and other tracking technologies to track referrals and attribute sales to Affiliates.
• Payment Processing: Derma.pk will make reasonable efforts to process commission payments promptly and accurately.
• Payment Disputes: Any discrepancies in commission payments must be reported to Derma.pk within [insert timeframe] of the payment date.

6. Intellectual Property

• Ownership: All intellectual property rights in the Website, Marketing Materials, and Derma.pk’s brand assets remain the property of Derma.pk.

7. Termination

• Termination by Either Party: This Agreement may be terminated by either party for any reason with [insert notice period] written notice.

• No Warranties: Derma.pk makes no warranties, express or implied, regarding the Program or the Website.
• Limitation of Liability: Derma.pk shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement.

9. Confidentiality

• Confidential Information: Both parties agree to keep confidential any information disclosed by the other party during the course of this Agreement.

10. Governing Law and Dispute Resolution

• Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Pakistan.
• Dispute Resolution: Any dispute arising out of or relating to this Agreement shall be settled amicably between the parties. If an amicable settlement cannot be reached, the dispute shall be referred to arbitration in accordance with the Arbitration Act, 1940 of Pakistan.

11. Entire Agreement

• Complete Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
